TERMS OF USE TO ACCESS THE TOOLS AND SERVICES OF CIRCA TECHNOLOGIES, INC.

PART A: GENERAL TERMS AND CONDITIONS

1. DEFINITIONS

As used in these Terms of Use (the “Terms”), the following defined terms shall have the meanings ascribed to them below. All defined terms shall have the same meaning whether used in the singular or the plural.

“Alia” means the web-based AI-assisted life cycle assessment (“LCA”) model creation tool made available by Circa as part of the Service, through which Users may construct LCA models with AI assistance and access Licensed Data.

“Circa” means Circa Technologies, Inc., a Delaware corporation, together with its affiliates and successors.

“Calculated Data” means any data, results, scores, or outputs derived by the User through the manipulation, aggregation, or analysis of Licensed Data, including but not limited to life cycle assessment results, environmental product declarations, carbon footprint analyses, and sustainability reports.

“Credit(s)” means the unit(s) of prepaid access entitlement purchased by the User, which may be expended at variable rates to perform Data Pulls within the Library, to access Licensed Data or third-party API services and additional AI features within Alia, or to license data accessed through Gesserit, as applicable.

“Data Pull” means the act by which a User elects to access a specific datapoint or record within the Library, thereby causing the expenditure of one or more Credits and the licensing of the corresponding datapoint to that User for the applicable License Term.

“Gesserit” means the web browser-based LCA modeling environment made available by Circa as part of the Service, through which Users may build LCA models, generate reports, and access data. Gesserit is free to use; Users pay only for Licensed Data imported from the Library into their models.

“Library” means Circa’s web-based repository of environmental data, emission factors, and related datapoints accessible via the Service.

“License Term” means the one (1) year period commencing on the date of a Data Pull during which the User is licensed to use the corresponding Licensed Data, subject to earlier termination in accordance with Section 9.

“Licensed Data” means any datapoint, record, emission factor, or other data accessed by a User through a Data Pull or otherwise made available to the User through the Service, including any data originating from third-party data suppliers.

“Platform Derivative Collection” means a collection of datapoints assembled by a User within the Service by connecting the User’s published User-Generated Content to datasets from other sources available on the platform, where each constituent datapoint remains individually identifiable and attributable to its respective publisher for purposes of credit and compensation.

“Service” or “Tool” means, collectively, the Library, Alia, Gesserit, and all related web-based software tools, platforms, and applications provided by Circa.

“User” or “You” means any individual or entity that accesses or uses the Service.

“User-Generated Content” means any datapoints, datasets, files, or other content uploaded, created, or published by a User within the Service.

2. ACCEPTANCE OF TERMS

By accessing, browsing, or using the Service in any manner, You acknowledge that You have read, understood, and agree to be bound by these Terms in their entirety. If You are accepting these Terms on behalf of an entity, You represent and warrant that You have the authority to bind such entity to these Terms. If You do not agree to these Terms, You must immediately cease all use of the Service.
